Question 1: Who are the promoters of the company?

Mr. Amit Anil Goenka is the Managing Director and Chairman of the Company. He Passed the examination of Bachelor of Engineering form Victoria Jubilee Technical Institute, University of Bombay. He also holds the Degree of Master of Business Administration from Texas A & M University, USA and Member of the Royal Institute of Chartered Surveyors UK.

Ms. Mridula Amit Goenka is the Executive Director of the Company. She holds the Degree of Chartered Accountant from The Institute of Chartered Accountant of India. She holds over a decade of experience in the financial Industry.

Mr. Vikas Krishnakumar Modi is the Executive Director of the Company. He holds a degree in Bachelor of Commerce from Mumbai University. He also has completed his Master of Commerce from Mumbai University.

Transaction Advisory Services: The company offers a range of services including assisting developers with outright sales, joint ventures, joint development, and capital structuring. The company leverages its extensive market knowledge to provide asset monetization and capital solutions, collaborating with developers, financial institutions, private equity firms, and other stakeholders to optimize value throughout the transaction lifecycle. Additionally, it offers specialized services such as private equity and structured credit, financial advisory and structuring, warehousing and land aggregation, preleased commercial spaces, and comprehensive asset monetization solutions.

Fund & Asset Management: The company evaluates investment opportunities and aligns them with the strategic goals of its funds. The company provides growth capital, project financing, and special situation funding to developers, focusing on real estate and urban infrastructure. It currently manages three schemes (Nisus High Yield Growth Fund – 1, the Nisus High Yield Growth Fund Closed-Ended, the Real Estate Special Opportunities Fund – 1, and the Real Estate Credit Opportunities Fund – 1) under subsidiaries, step-down subsidiaries, and associate companies through SEBI, IFSC, and DIFC-registered AIFs, with an asset under management (AUM) exceeding INR 1000 Crore as of FY 2024.

Question 4: How much money is the company raising and why?

In the IPO, the company is offering 63.46 Lakh shares, priced at INR 170 - 180 per share, aggregating to total of INR 114.24 Cr, with a lot size of 800 shares. For the purpose of:

  • Augmenting fund setup, additional licenses, facility management services and fund management infrastructure in IFSC-Gift City (Gandhinagar), DIFC-Dubai (UAE) and FSC - Mauritius - INR 12.46 Cr
  • Fund raising cost, distribution and placement fee to third party distributors or agents in India and/or international markets for creation of pool of funds - INR 35.90 Cr
